Oceanform Ltd – Sales Terms & Conditions
1. Overview
These Sales Terms & Conditions govern the sale of products and services provided by Oceanform Ltd.
By confirming an order with Oceanform Ltd, the client agrees to be bound by these Terms & Conditions.
Oceanform aims to provide high-quality garments and professional service while establishing long-lasting and productive partnerships with its clients.
If any part of these Terms & Conditions is unclear, clients are encouraged to contact Oceanform prior to confirming an order.
2. Pricing
All pricing provided by Oceanform Ltd is confidential.
Oceanform Ltd reserves the right to amend, update, or withdraw pricing at any time without prior notice.
Prices quoted do not include:
• embroidery or printing
• alterations
• shipping or logistics costs
• VAT, duties, taxes, or import charges
Where applicable, these costs will be added to the order and are the responsibility of the client unless otherwise agreed in writing.
Pricing for third-party branded products may vary depending on supplier pricing adjustments and availability
3. Quotations
All quotations issued by Oceanform Ltd are valid for the period stated on the quotation, typically between 7 and 14 days from the date of issue, unless otherwise specified.
If an order is placed after the quotation validity period has expired, Oceanform Ltd reserves the right to revise pricing, availability, and lead times prior to accepting the order.
Orders placed after the quotation validity period may require a revised quotation prior to confirmation.
4. Orders & Cancellation
Orders are confirmed once payment has been received and written confirmation has been issued by Oceanform Ltd.
Once an order has been confirmed and payment received, orders cannot be cancelled.
This is due to the immediate sourcing of materials, allocation of production capacity, and manufacturing processes initiated for the order.
Any requested changes to confirmed orders may incur additional costs and revised production timelines.
Written design approval constitutes final confirmation of style, colour, sizing, branding, quantities, and specifications, and production will proceed based on these approved details.
Once production has commenced based on the confirmed order and approved specifications, the order shall be considered final and Oceanform Ltd shall not be obligated to renegotiate pricing, quantities, or commercial terms.
5. Payment Terms
Oceanform Ltd operates on a pre-payment basis as production capacity, fabric allocation, and manufacturing resources are reserved specifically for each confirmed order.
Production, sourcing, or ordering of goods will not commence until payment has been received.
Unless otherwise agreed in writing, payment terms are:
100% payment prior to production or ordering of goods
For larger projects Oceanform Ltd may, at its discretion, offer:
• 50% payment upon order confirmation
• 50% payment prior to dispatch or prior to embroidery/customisation
Final payment must be received prior to dispatch of goods.
Oceanform Ltd reserves the right to hold shipment until outstanding balances have been settled.
If payment is delayed, Oceanform Ltd reserves the right to charge reasonable storage or holding fees until payment is received.
6. Accepted Payment Methods
Payments may be made via:
• bank transfer / international wire
• secure payment link
Clients are responsible for any bank charges, international transfer fees, or currency conversion costs.
7. Currency
All pricing and invoices are issued in Euros (€).
Clients paying from foreign accounts are responsible for any exchange rate differences or bank charges.
8. Production Lead Times
Standard production lead times are approximately 8–12 weeks from receipt of payment and final design approval, unless otherwise agreed.
Lead times are estimates only and are not guaranteed delivery dates.
Any stated delivery timeframe shall not be considered a guaranteed delivery date.
Clients must allow for potential delays outside Oceanform Ltd’s reasonable control including but not limited to:
• supplier delays
• manufacturing capacity
• shipping or transport disruption
• customs clearance
• global supply chain issues
Oceanform Ltd will make reasonable efforts to keep clients informed of any significant delays affecting their order and always aims to improve production timelines wherever possible.
9. Shipping & Delivery
Shipping costs are the responsibility of the client unless otherwise agreed in writing.
Oceanform Ltd is not responsible for customs duties, import taxes, or clearance charges.
Risk in the goods transfers to the client once the goods have been dispatched from Oceanform Ltd or its manufacturing partner.
10. Retention of Title
Ownership of all goods remains with Oceanform Ltd until full payment has been received.
Until full payment has been made, Oceanform Ltd retains the legal right to reclaim goods supplied.
11. Returns & Claims
Clients must inspect all goods upon delivery.
Any claims relating to incorrect items, shortages, damage, or manufacturing defects must be reported in writing within 14 days of delivery.
No products may be returned after 14 days from delivery.
After this period, the goods shall be deemed accepted and Oceanform Ltd shall have no further liability in relation to the order.
All returns must be authorised by Oceanform Ltd prior to being shipped.
Returned items must be:
• unworn
• unwashed
• in original condition
• with all tags attached
Return shipping costs are the responsibility of the client unless otherwise agreed in writing.
12. Faults & Product Evaluation
If a client believes a garment contains a manufacturing fault, Oceanform Ltd must be notified in writing within 14 days of delivery.
Garments claimed to be faulty must be returned to Oceanform Ltd for full inspection and evaluation.
Once inspected and a manufacturing fault confirmed, Oceanform Ltd may, at its sole discretion, offer:
• repair
• replacement
• credit
If the garment is determined not to contain a manufacturing fault, the item may be returned to the client at the client’s expense.
13. Customised & Made-to-Order Products
All customised, embroidered, printed, or made-to-order garments are non-returnable and non-refundable.
Where a confirmed manufacturing fault exists, Oceanform Ltd may offer repair, replacement, or credit at its sole discretion.
Refunds will only be issued where repair or replacement is not possible.
Customised or branded third-party products (including embroidery or printing) are non-returnable and non-refundable unless a manufacturing defect is confirmed.
14. Third-Party / Partner Brand Products
Oceanform Ltd may supply products manufactured by third-party brands or partner suppliers including but not limited to Musto, YETI, Helly Hansen and similar brands.
Any claims relating to defects, shortages, or issues with third-party branded products must be reported in writing within 14 days of delivery.
After this period, the goods shall be deemed accepted and Oceanform Ltd shall have no further responsibility in relation to the order.
Oceanform Ltd reserves the right to adjust or substitute products where a supplier discontinues a product, changes specifications, or experiences stock shortages.
15. Product Characteristics, Care & Wear
Manufacturing Tolerances
Garments are produced within standard textile industry tolerances. Minor variations in measurement (typically ±1–2 cm) may occur and do not constitute defects.
Colour Matching
Where custom colours or colour matching services are requested, Oceanform Ltd will make every reasonable effort to match the requested colour.
However, exact colour matching cannot be guaranteed and slight variations may occur.
Fabric Batch Variation
Textile products are produced in fabric batches (dye lots). Slight variations in colour shade between production batches may occur and are considered normal within the textile industry and do not constitute defects.
Garment Care
Garments must be washed strictly in accordance with the care instructions stated on the garment label.
Only neutral detergents should be used unless otherwise specified.
Commercial Laundry
Oceanform Ltd cannot be held responsible for garment performance, shrinkage, colour fading, or fabric deterioration resulting from commercial or industrial laundering processes including high-temperature washing, chemical detergents, bleaching agents, or tumble drying.
Product Wear
Textile products naturally experience wear over time depending on usage, washing conditions, and operational environments.
Oceanform Ltd does not guarantee the lifespan of garments, and gradual colour fading, fabric softening, or general wear are normal characteristics of clothing and do not constitute manufacturing faults.
16. Liability
To the fullest extent permitted by law, Oceanform Ltd’s total liability arising from the supply of goods or services shall be limited to the value of the goods supplied under the relevant order.
Oceanform Ltd shall not be liable for any indirect, incidental, or consequential losses including but not limited to loss of profit, loss of business, loss of charter revenue, or operational disruption.
Nothing in these Terms shall exclude liability for death or personal injury caused by negligence or any liability which cannot legally be limited.
17. Communication
Email shall be considered the primary and binding form of communication for all contractual matters including order confirmations, approvals, changes, and formal correspondence.
Phone calls, messaging platforms, or other informal communication channels are considered non-binding unless confirmed by email.
18. Confidentiality
Both parties agree to maintain the confidentiality of all sensitive information exchanged during the course of the relationship.
This includes but is not limited to:
• pricing and quotations
• discounts and commercial terms
• branding materials
• vessel or client names
• uniform specifications and designs
Such information may not be disclosed to third parties without written consent.
19. Intellectual Property
All designs, garments, drawings, specifications, and materials created or provided by Oceanform Ltd remain the exclusive intellectual property of Oceanform Ltd.
Clients may not reproduce, copy, or manufacture these designs through third parties without written consent.
Oceanform Ltd reserves the right to pursue all legal remedies available for unauthorised use.
20. Force Majeure
Oceanform Ltd shall not be liable for failure or delay in performance caused by circumstances beyond its reasonable control including supplier disruption, natural disasters, transport interruptions, labour shortages, or government restrictions.
21. Governing Law
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.
Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
