1. Overview
These Sales Terms & Conditions govern the sale of products and services provided by Oceanform Ltd.
By confirming an order with Oceanform Ltd, the client agrees to be bound by these Terms & Conditions.
Oceanform aims to provide high-quality garments and professional service while establishing long-lasting and productive partnerships with its clients.
Oceanform Ltd will act reasonably and in good faith in the application of these Terms & Conditions.
If any part of these Terms & Conditions is unclear, clients are encouraged to contact Oceanform prior to confirming an order.
2. Pricing
All pricing provided by Oceanform Ltd is confidential.
Oceanform Ltd reserves the right to amend pricing where necessary due to supplier costs, exchange rates, specification changes, or quotation expiry.
Unless expressly stated otherwise in writing, prices quoted do not include:
- embroidery or printing
- customisation
- alterations
- shipping or logistics costs
- VAT, duties, taxes, or import charges
Where applicable, these costs will be added to the order and are the responsibility of the client unless otherwise agreed in writing.
Pricing for third-party branded products may vary depending on supplier pricing adjustments and availability.
3. Quotations
All quotations issued by Oceanform Ltd are valid for the period stated on the quotation, typically between 7 and 14 days from the date of issue, unless otherwise specified.
Quotations must be approved in writing within the stated validity period in order to remain valid.
Upon approval of a quotation, Oceanform Ltd will issue an invoice reflecting the agreed scope, pricing, and applicable costs.
If a quotation is not approved within the validity period, Oceanform Ltd reserves the right to revise pricing, availability, and lead times prior to issuing an invoice or accepting the order.
Orders will only be considered confirmed once the corresponding invoice has been issued and payment has been received in accordance with Section 4.
Oceanform Ltd reserves the right to decline to proceed with an order prior to invoice issuance.
4. Orders & Cancellation
Orders are confirmed once payment has been received and written confirmation has been issued by Oceanform Ltd.
Payment of an invoice constitutes formal acceptance of the order and agreement to these Terms & Conditions. Upon payment, stock may be allocated and/or production capacity may be reserved.
Oceanform Ltd does not operate on a sale-or-return basis.
Cancellations – General Approach
Orders are considered confirmed and non-cancellable once payment has been received.
Oceanform Ltd may, at its sole discretion, consider cancellation requests on a case-by-case basis, taking into account order status, costs incurred, stock allocation, and operational impact.
Partial cancellations or reductions in quantities after confirmation may not be accepted and will be reviewed at Oceanform Ltd’s discretion.
Material Delay
Where a delay exceeds 30 days beyond the initially communicated lead time, the client may submit a request for cancellation.
All such requests will be assessed by Oceanform Ltd in good faith, taking into account:
- the cause of delay
- the stage of production or allocation
- work already completed
- client requirements
Oceanform Ltd shall not be obligated to accept cancellation and may instead proceed with fulfilment of the order.
Approved Cancellations
Where Oceanform Ltd agrees to a cancellation:
- a cancellation fee may be applied, typically up to 15%, to reflect costs incurred, stock allocation, and operational impact
- the remaining balance may be issued as a credit note or partial refund, at Oceanform Ltd’s discretion
Customised & Made-to-Order Products
All customised, embroidered, printed, or made-to-order garments are non-cancellable and non-refundable once an order has been confirmed.
Where issues arise, Oceanform Ltd will work with the client to identify practical solutions where possible.
General
Orders that have been shipped or are in transit are non-cancellable.
Refusal to accept delivery does not constitute valid cancellation and may result in additional costs being incurred.
Any requested changes to confirmed orders may incur additional costs and revised production timelines.
Written design approval constitutes final confirmation of style, colour, sizing, branding, quantities, and specifications, and production will proceed based on these approved details.
Once production has commenced based on confirmed specifications, the order shall be considered final and Oceanform Ltd shall not be obligated to renegotiate pricing, quantities, or commercial terms.
5. Payment Terms
Oceanform Ltd operates on a pre-payment basis as production capacity, fabric allocation, stock allocation, and manufacturing resources may be reserved specifically for each confirmed order.
Production, sourcing, or ordering of goods will not commence until payment has been received.
Unless otherwise agreed in writing, payment terms are:
- 100% payment prior to production or ordering of goods
For larger projects, Oceanform Ltd may, at its discretion, offer:
- 50% payment upon order confirmation
- 50% payment prior to dispatch or prior to embroidery/customisation
Final payment must be received prior to dispatch of goods.
Oceanform Ltd reserves the right to hold shipment until outstanding balances have been settled.
If payment is delayed, Oceanform Ltd reserves the right to charge reasonable storage, holding, or re-handling fees until payment is received.
6. Accepted Payment Methods
Payments may be made via:
- bank transfer / international wire
- secure payment link
Clients are responsible for any bank charges, international transfer fees, or currency conversion costs.
7. Currency
All pricing and invoices are issued in Euros (€).
Clients paying from foreign accounts are responsible for any exchange rate differences or bank charges.
8. Production Lead Times
Standard production lead times are approximately 8–12 weeks from receipt of payment and final design approval, unless otherwise agreed in writing.
Lead times are provided as estimates only and are not guaranteed delivery dates.
Lead times may vary depending on:
- order complexity
- quantities
- customisation or branding requirements
- supplier and material availability
Any stated delivery timeframe shall not be considered a guaranteed delivery date.
Clients must allow for potential delays outside Oceanform Ltd’s reasonable control including but not limited to:
- supplier delays
- manufacturing capacity
- shipping or transport disruption
- customs clearance
- global supply chain issues
Any delays resulting from client actions, including late approvals, changes, or incomplete information, may result in revised lead times.
Oceanform Ltd will make reasonable efforts to keep clients informed of any significant delays and will work proactively to manage expectations.
For the avoidance of doubt, delays shall not, in isolation, constitute grounds for cancellation and will be handled in accordance with Section 4.
9. Shipping & Delivery
Shipping costs are the responsibility of the client unless otherwise agreed in writing.
Oceanform Ltd is not responsible for customs duties, import taxes, or clearance charges.
Risk in the goods transfers to the client once the goods have been dispatched from Oceanform Ltd or its manufacturing partner.
Oceanform Ltd will provide reasonable assistance in resolving delivery issues but is not responsible for delays, losses, or customs issues once goods are in transit.
10. Retention of Title
Ownership of all goods remains with Oceanform Ltd until full payment has been received.
Until full payment has been made, Oceanform Ltd retains the legal right to reclaim goods supplied.
11. Returns & Claims
Clients must inspect all goods upon delivery.
Any claims relating to incorrect items, shortages, damage, or manufacturing defects must be reported in writing within 14 days of delivery.
After this period, goods will be deemed accepted and returns may no longer be possible.
All returns must be authorised by Oceanform Ltd prior to being shipped.
Returned items must be:
- unworn
- unwashed
- in original condition
- with all tags attached
Return shipping costs are the responsibility of the client unless otherwise agreed in writing.
Nothing in this section shall imply that stock products are returnable as standard, and any return remains subject to prior written approval by Oceanform Ltd.
12. Faults & Product Evaluation
If a client believes a garment contains a manufacturing fault, Oceanform Ltd must be notified in writing within 14 days of delivery.
Garments claimed to be faulty must be returned to Oceanform Ltd for full inspection and evaluation.
Where a manufacturing fault is confirmed, Oceanform Ltd may, at its sole discretion, offer:
- repair
- replacement
- credit
If the garment is determined not to contain a manufacturing fault, the item may be returned to the client at the client’s expense.
Resolution of faults will not constitute grounds for cancellation of the wider order.
13. Customised & Made-to-Order Products
All customised, embroidered, printed, or made-to-order garments are non-returnable and non-refundable.
Where a confirmed manufacturing fault exists, Oceanform Ltd may offer repair, replacement, or credit at its sole discretion.
Refunds will only be issued where repair or replacement is not possible.
Customised or branded third-party products are non-returnable and non-refundable unless a manufacturing defect is confirmed.
14. Third-Party / Partner Brand Products
Oceanform Ltd may supply third-party branded products.
Oceanform Ltd shall not be liable for changes made by suppliers to specifications, materials, or design.
Oceanform Ltd reserves the right to adjust, substitute, or withdraw products where a supplier discontinues a product or experiences stock shortages.
15. Product Characteristics, Care & Wear
Garments are produced within standard industry tolerances.
Variations in sizing, colour, and fabric batches are normal and do not constitute defects.
Oceanform Ltd is not responsible for issues arising from improper care or commercial laundering.
16. Liability
Oceanform Ltd’s total liability shall be limited to the value of goods supplied.
Oceanform Ltd shall not be liable for indirect or consequential losses.
17. Communication
Email shall be considered the primary and binding form of communication for all contractual matters including order confirmations, approvals, changes, and formal correspondence.
Phone calls, messaging platforms, or other informal communication channels are considered non-binding unless confirmed by email.
18. Confidentiality
Both parties agree to maintain the confidentiality of all sensitive information exchanged during the course of the relationship.
This includes but is not limited to:
• pricing and quotations
• discounts and commercial terms
• branding materials
• vessel or client names
• uniform specifications and designs
Such information may not be disclosed to third parties without written consent.
19. Intellectual Property
All designs, garments, drawings, specifications, and materials created or provided by Oceanform Ltd remain the exclusive intellectual property of Oceanform Ltd.
Clients may not reproduce, copy, or manufacture these designs through third parties without written consent.
Oceanform Ltd reserves the right to pursue all legal remedies available for unauthorised use.
20. Force Majeure
Oceanform Ltd shall not be liable for failure or delay in performance caused by circumstances beyond its reasonable control including supplier disruption, natural disasters, transport interruptions, labour shortages, or government restrictions.
21. Governing Law
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.
Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
